Proprietary Deal Flow: How Private Equity Firms Source Off-Market Acquisitions

For Acquirers6 min read

Every buyer says they want proprietary deal flow. Far fewer have a repeatable way to create it. The result is a market where most sponsors compete for the same intermediated deals — and where the firms that build genuine off-market pipelines quietly win the best companies before anyone else sees them.

This is a practical look at what proprietary deal flow actually is, why it produces better outcomes than the auction, and what it takes to build a pipeline of off-market conversations that doesn't depend on luck.

What “proprietary” really means

A proprietary opportunity is one you created rather than one that was handed to you. In practice, that means reaching a founder-owned business directly — before it hires a banker, before it enters a competitive process, and often before the owner has decided to sell at all.

That last point is the one most buyers underrate. The most compelling lower-middle-market companies are usually run by owners who are focused on operating, not on preparing a data room. They are not “for sale” in any formal sense. They are, however, often open to the right conversation with the right partner at the right time. Proprietary origination is the discipline of finding those companies and starting that conversation.

Why the auction works against you

When a business comes to market through an intermediary, the process is designed to do one thing: maximize competitive tension. That is the seller's advisor doing their job well — and it is precisely what erodes buyer returns.

In a marketed process you are one of several bidders, valuation conversations start from a set of guide prices rather than from fit, and the timeline and terms are controlled by someone whose incentive is to run up the number. Industry data reflects how much buyers want out of that dynamic: independent sponsor surveys consistently report that a large share of completed deals originate from proprietary relationships and direct outreach rather than from broadly marketed processes, alongside a meaningful share sourced out of broken auctions.

Off-market doesn't guarantee a lower multiple. What it guarantees is a conversation that begins from fundamentals and fit instead of from a banker's floor price — and the ability to build a relationship before the clock starts.

The problem: proprietary sourcing is a full-time job

Here is the uncomfortable truth about off-market origination: it works, and almost no one wants to do the work.

Building an accurate target list, finding the actual decision-maker (not a generic info@ address), writing outreach an owner will actually read, calling the ones who don't reply, and following up for months on companies that aren't ready yet — that is a full-time function. Most deal teams are already at capacity running diligence and managing the portfolio. Origination becomes the thing that happens between other things, which means it happens inconsistently, which means the pipeline runs dry exactly when the fund needs to deploy.

This is why proprietary deal flow tends to correlate with dedicated origination capacity. The firms that generate it consistently have someone whose only job is to create conversations.

What a repeatable proprietary pipeline looks like

A durable off-market pipeline isn't a burst of cold emails. It's a system with four parts:

  • A thesis, written down. Sector, geography, size, ownership profile, and strategic rationale, specific enough that a target either fits or doesn't. Vague criteria produce vague lists.
  • A real market map. Not the same database everyone else pulls from. The most valuable owner-operated companies frequently don't appear in standard M&A databases, so mapping the true universe requires industry sources, public records, licensing data, and direct research. See how we build a market map
  • Direct, respectful engagement. Outreach on behalf of one specific buyer with a specific reason for the contact — not mass lead generation. Owners can tell the difference immediately, and it's the difference between a reply and a delete.
  • Long-term relationship management. Most qualified owners aren't ready in the first conversation. The advantage comes from maintaining the relationship and knowing when timing changes — an ownership transition, a retirement, a shift in the market — so you re-engage at the right moment rather than the wrong one.

Build it, or run it under your name

You can build this capacity in-house by hiring dedicated origination staff, or you can run it through a partner that operates it on your behalf. Risegate runs managed buy-side origination under your name: you define the thesis and approve the targets, and we handle the research, the outreach, and the follow-up, so qualified owner conversations arrive on your team's calendar.

The point either way is the same. Proprietary deal flow is not a stroke of luck or a matter of who you know. It's a function — and firms that treat it like one see the best companies first.
